Terms of Service - iRad Report

1. Acceptance of Terms

By accessing or using iRad Report ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including healthcare professionals, medical institutions, and their authorized representatives.

2. Description of Service

iRad Report provides:

AI-powered radiology report generation tools
Medical speech-to-text transcription services
Structured reporting templates (TIRADS, BIRADS, O-RADS)
Customizable radiology report templates
Cloud-based report management platform

Medical Disclaimer: iRad Report is a tool to assist radiologists. It does not provide medical advice, diagnosis, or treatment. All reports should be reviewed and approved by qualified medical professionals.

3. User Accounts

Account Creation

You must provide accurate, complete, and current information
You must be a licensed healthcare professional or authorized representative
You are responsible for maintaining account security
You must notify us immediately of any unauthorized access

Account Responsibilities

You are responsible for all activities under your account
You may not share your account credentials
You must comply with all applicable laws and regulations
You must maintain appropriate licenses and certifications

4. Subscription and Payment

Subscription Plans

Subscriptions are billed monthly in advance
Usage is measured in minutes of service utilization
Overage charges apply when monthly quota is exceeded
Prices are subject to change with 30 days notice

Payment Terms

Payment is processed via Stripe
You authorize automatic recurring payments
Failed payments may result in service suspension
No refunds for partial months of service

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided.

5. Acceptable Use Policy

You agree not to:

Use the Service for any unlawful purpose
Upload or transmit viruses or malicious code
Attempt to gain unauthorized access to the Service
Interfere with or disrupt the Service
Reverse engineer or attempt to extract source code
Use the Service to process non-medical content
Share or resell access to the Service

6. Intellectual Property

Our Property

The Service, including all content, features, and functionality, is owned by iRad Report and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

Your Content

You retain ownership of all reports and content you create using the Service. By using the Service, you grant us a limited license to process your content solely to provide the Service to you.

Feedback

Any feedback, suggestions, or ideas you provide may be used by us without obligation to you.

7. Privacy and Data Protection

Your use of the Service is governed by our Privacy Policy. Key points:

We do not store patient health information (PHI)
Reports are processed in real-time and not retained
We maintain HIPAA compliance standards
We will sign Business Associate Agreements as required
You are responsible for PHI handling on your end

8. Disclaimers and Limitations

Service Availability

The Service is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation. We aim for 99.9% uptime but are not liable for any downtime.

Medical Disclaimer

THE SERVICE DOES NOT PROVIDE MEDICAL ADVICE. All output must be reviewed by qualified healthcare professionals. We are not responsible for medical decisions based on Service output.

Limitation of Liability

To the maximum extent permitted by law, iRad Report shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

Maximum Liability

Our total liability shall not exceed the amount paid by you in the twelve (12) months prior to the event giving rise to liability.

9. Indemnification

You agree to indemnify and hold harmless iRad Report, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising from:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Your violation of any applicable laws or regulations

10. Termination

We may terminate or suspend your account immediately, without prior notice, for:

Breach of these Terms
Non-payment of fees
Suspected fraudulent or illegal activity
Request by law enforcement

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which should reasonably survive termination shall survive.

11. Governing Law and Disputes

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the new Terms.

13. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and iRad Report
Severability: If any provision is found invalid, the remaining provisions continue in effect
Waiver: Failure to enforce any right or provision is not a waiver
Assignment: You may not assign these Terms without our consent
